A Private Limited Company is a separate legal entity incorporated with the Ministry of Corporate Affairs. It needs at least two shareholders and two directors; the same people can hold both roles. Its shares provide a way to record ownership and admit future investors, subject to the law and company documents.
What do you need before filing?
At least two shareholders and two directors, with at least one director meeting the statutory Indian residency requirement.
Proposed company names, business activities, shareholding and authorised capital.
Identity and address evidence for the subscribers and directors. Overseas documents may need additional authentication.
Registered-office evidence, a recent utility bill and the owner’s consent. A home address can be used if the documentation and applicable requirements are met.
How does incorporation work?
We review the proposed structure, documents and name options.
We coordinate director DSCs and prepare the SPICe+ name and incorporation application with the linked documents.
The Registrar reviews the filing and may request clarification or corrections.
After approval, we hand over the incorporation certificate, PAN, TAN and the documents covered by your plan.
What does the displayed price cover?
Register starts at ₹14,999 including GST, MCA fees, Tamil Nadu stamp duty and two director DSCs, each valid for two years with a USB token.
The standard scope is two directors in Tamil Nadu with authorised capital up to ₹10 lakh. Other states, higher capital and additional directors require a written quote.
Annual accounting, audit and ROC filings are separate. Launch Ready includes INC-20A assistance subject to the required subscription and documents; Market Ready domain and hosting are quoted separately.
What happens after incorporation?
Arrange the company bank account and subscription of share capital. Check the commencement declaration requirement before starting business or borrowing.
Plan auditor appointment, accounting records and annual filings. Incorporation alone does not complete ongoing compliance.
Check GST, employment, local and industry-specific registrations against the activities you will carry on.
Before you choose
Are government fees really included?
Yes. Every package includes the MCA fees, Tamil Nadu stamp duty, two director DSCs and applicable taxes for a company with authorised capital up to ₹10 lakh. Higher capital, other states, extra directors or non-standard incorporations are quoted before you pay.
What happens if my company name is rejected?
We check your names against MCA records and trademarks before filing to reduce the risk. If the Registrar still rejects a name, we help resubmit with your alternative names without an additional professional fee within the agreed scope. Any new government fee outside that scope is disclosed before proceeding.
Are there any additional charges after payment?
Your selected package price covers the agreed incorporation scope. Domain and hosting for the Market Ready website are billed at actual cost and quoted before you pay. Optional add-ons such as a logo upgrade or an organisational DSC are only charged if you choose them. Annual compliance and work outside the package are separate.
Can I upgrade my package later?
Yes. Upgrade within 30 days of payment and pay only the difference between the two packages. Your case manager will reconcile any selected add-ons before additional work begins.
How long does company registration take?
Our target is 15 working days after complete, accurate documents and agreed payment are received, subject to name approval and authority responses. Discrepancies may extend processing to 35 working days; document mismatches can take longer, with separately approved correction charges. Branding, website work and DPIIT recognition have separate agreed schedules.
